These Terms and Conditions (“Terms”) form a binding legal agreement between you (“Client,” “You,” “Your”) and RazorFire Media (“Company,” “We,” “Our,” “Us”). These Terms govern your access to and use of the Company’s website and any and all products and services provided by RazorFire Media (“Services”). By accessing or using our website or purchasing any Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, you must immediately cease use of our website and Services.

2. Scope of Agreement

These Terms apply to all Services and products offered by RazorFire Media, including but not limited to digital marketing services, website development, SEO, social media management, and other offerings. This agreement governs all interactions and transactions between you and the Company unless otherwise agreed to in writing by an authorized representative.

3. Definitions

"Client," "You," and "Your" refer to the individual or entity using our website and Services. "Company," "We," "Our," and "Us" refer to RazorFire Media. "Services" encompasses all products, services, and deliverables provided by RazorFire Media.

4. Use of Cookies

We utilize cookies to enhance your user experience. By accessing our website, you consent to our use of cookies in accordance with our Privacy Policy. Disagreement with this practice requires discontinuation of website use.

5. Intellectual Property Rights

All intellectual property rights in content, materials, and Services provided by RazorFire Media are owned exclusively by the Company or its licensors. Clients are granted a limited, revocable license to access and use our content solely for personal or internal business use. Unauthorized use is prohibited and may result in legal action.

6. User-Generated Content

We may allow user-generated content such as comments or reviews. RazorFire Media is not liable for such content and reserves the right to remove any content that violates these Terms or is deemed inappropriate.

7. Hyperlinking and Framing

Certain organizations may link to our website without prior written approval, but unauthorized use of our proprietary materials for linking or framing is strictly prohibited. We reserve the right to request the removal of any inappropriate links.

8. Content Liability

We assume no responsibility for third-party websites linking to our site. You agree to indemnify us against any claims related to your website linking to ours.

9. Advertising Budget

RazorFire Media recommends a minimum ad budget of $2,000 to ensure optimal performance. Clients choosing to spend less do so at their own risk and waive claims related to campaign performance. A non-refundable 6% processing fee applies to all ad budgets managed by RazorFire Media. All allocated advertising funds are final, non-reversible, and non-refundable.

10. Access to Social Media Accounts

Clients must provide and maintain full administrative access to their social media accounts. Failure to do so may result in suspension or termination of Services, with all related liabilities resting solely with the Client. Unauthorized revocation of access will be considered a material breach.

11. Intellectual Property Usage

All creative materials and strategies remain the property of RazorFire Media. Clients receive a limited license for campaign-related use only. Unauthorized use may result in termination, legal action, or injunctive relief.

12. Refund and Chargeback Policy

Refunds are issued at our discretion and must be requested within 30 days of purchase. Chargebacks without prior resolution attempts violate these Terms. Unresolved disputes may be escalated to binding arbitration in Texas.

13. Chargeback and Dispute Policy

Chargebacks initiated without contacting RazorFire Media first may result in collection efforts, liens, or legal action. Fraudulent disputes may also be reported to law enforcement. Unpaid disputes may affect your credit score and business operations.

14. Security Interest and Collections Authorization

Upon payment default or chargeback, RazorFire Media reserves the right to enforce a security interest in your business assets, file UCC-1 statements, or pursue collections in accordance with state and federal law.

15. Legal Binding and Waiver of Legal Action

These Terms form a legally binding contract. Clients agree not to engage in defamatory behavior against RazorFire Media and waive the right to initiate legal action related to Services provided. Arbitration in Texas will resolve disputes.

16. Termination of Services and Refund Policy

RazorFire Media may terminate Services for non-payment, material breach, or unethical conduct. Prepaid fees may be forfeited in such cases. Clients retain the right to post honest reviews.

17. Subscription Cancellation

Cancelling a subscription terminates all associated Services and benefits. RazorFire Media may refuse reinstatement. Outstanding balances remain collectible, and data may be lost upon cancellation.

18. Backlink Removal for SEO Services

Do-follow backlinks are removed if the Client cancels SEO Services before the agreed term. No-follow backlinks remain. Clients have no ownership of backlinks and cannot dispute their removal.

19. Required Onboarding Form

Clients must submit all required onboarding forms accurately and promptly. Failure to do so may result in termination of Services and forfeiture of payments made. These forms are a non-negotiable requirement.

For all inquiries regarding these Terms or our Services, Clients must contact us exclusively at support@razorfiremedia.com or through authorized channels on our website. Communications outside these channels are not valid or binding.

21. Service Timeline and Completion

All timelines are estimates only. RazorFire Media will manage scheduling at its discretion. Delays are not considered breaches and do not affect payment obligations.

22. Money-Back Guarantee and Associated Charges

Money-back guarantees are subject to non-refundable fees: $99 for onboarding and $99 per integrated social media account. These deductions are automatic upon refund approval.

23. Continued Use and Acceptance

Your continued use of RazorFire Media’s website or Services constitutes full acceptance of these Terms. Failure to comply may result in immediate termination of Services. Clients are responsible for staying informed of any updates to these Terms.
